Purpose of these disclosures

These Disclosures are provided by Quanthree to ensure that Users of the Platform have access to clear, complete and non-misleading information about the nature of the instruments traded, the risks involved, the regulatory status of Quanthree, and the limitations inherent in autonomous execution.

These Disclosures form an integral part of the Terms of Service and are to be read together with them and with the Privacy Policy. Terms not defined herein carry the meaning assigned to them in the Terms of Service. Reading these Disclosures does not substitute for independent legal, financial or tax advice, which Quanthree strongly encourages Users to seek before allocating capital.

Nature of synthetic indices

The instruments over which the Agent operates — namely the 1HZ10V, 1HZ25V, 1HZ50V, 1HZ75V and 1HZ100V series — are synthetic volatility indices generated by the intermediary broker's proprietary algorithm. They do not reference any real-world asset, commodity, equity, currency pair, interest rate or index. They are not regulated financial instruments within the meaning of MiFID II or any equivalent legislation in non-EEA jurisdictions.

The synthetic nature of these indices means that their price series is not determined by supply and demand in a regulated market, by the financial condition of any issuer, or by macroeconomic events. Their behaviour is governed solely by the statistical parameters programmed into the broker's generator. This makes them categorically different from CFDs, exchange-traded derivatives or structured products, and the risk characteristics of synthetic indices cannot be assessed using conventional financial analysis.

Quanthree makes no representation as to the long-term statistical properties of any synthetic index, and these properties are subject to change by the intermediary broker without notice.

Risk of capital loss

Trading in contracts over synthetic indices, including short-duration contracts resolved at the tick level or within a fixed time window, carries a high risk of rapid and total loss of the capital allocated to a Session. The User should not allocate to any Session an amount they are not prepared to lose in full.

The binary or quasi-binary structure of DIGITDIFF, DIGITMATCH and Rise/Fall contracts means that each contract results either in a fixed return or a total loss of the stake. There is no partial outcome. A sequence of consecutive losing contracts can exhaust the Session budget before the Agent's recovery mechanism has an opportunity to activate.

Risk is not eliminated by the Agent's position-weighting or recovery logic. The recovery function is bounded by an internal cap and by the remaining Session budget. A sufficiently adverse sequence of outcomes will breach these limits and result in the loss of the full Session budget, regardless of the Agent's internal configuration.

Past profitable Sessions do not reduce the probability of future losses. Each Session is statistically independent and the Agent's historical calibration does not guarantee consistent outcomes across different market conditions, index rotations or broker generator reconfigurations.

No investment advice

Quanthree is not an investment firm, investment adviser, portfolio manager, or financial intermediary within the meaning of any applicable capital markets regulation. The Platform does not constitute a personalised investment recommendation, a collective investment scheme, a managed account or any form of discretionary portfolio management.

Nothing on the Platform, in these Disclosures, in the Terms of Service, in the Privacy Policy, in any marketing material, or in any communication from Quanthree constitutes investment advice, financial advice, legal advice, tax advice, or any other form of regulated advice. Quanthree does not assess the suitability or appropriateness of the Platform for any individual User.

The User makes all decisions regarding the connection of their broker account, the allocation of a Session budget, and the initiation and termination of Sessions entirely at their own discretion and risk.

No guarantee of performance

Quanthree makes no representation, warranty or guarantee — express or implied — that the use of the Platform will result in a profit, preserve capital, or achieve any specific outcome over any period of time.

Any reference to verified historical performance metrics on the Platform, including average alpha figures and tracked signal counts, represents an honest account of Quanthree's internal aggregates at the time of publication. Such metrics reflect past outcomes only and are not a projection, forecast or guarantee of future results under any conditions.

The Agent's calibration is subject to continuous internal revision. Changes to the Agent's configuration may affect its performance in ways that are not predictable from historical data, and Quanthree is under no obligation to disclose such changes in advance or to maintain any specific performance threshold.

Regulatory status and broker relationship

Quanthree is a technology platform operator, not a regulated entity under MiFID II, the UK Financial Services and Markets Act, or any equivalent legislation. Quanthree does not hold any licence to provide investment services, execute orders on behalf of clients, manage client funds, or operate a trading venue.

All contracts are initiated, executed, settled and cleared exclusively by the intermediary broker on its own regulated or licensed platform, and in accordance with the broker's own terms and conditions. The intermediary broker is an independent entity with its own regulatory obligations, and any disputes concerning the execution or settlement of contracts must be addressed directly to the broker.

Quanthree does not hold, receive, transmit or safeguard User funds at any stage. The User's capital remains at all times in their broker account, subject to the broker's custody and segregation arrangements.

Autonomous execution — absence of human oversight

The Agent operates without human intervention during a Session. Once a Session is initiated, the Agent selects instruments, determines contract notionals, chooses entry directions and manages phasing without any manual input from Quanthree staff or the User. The User's only in-Session control is the option to terminate the Session early.

Quanthree staff do not monitor individual Sessions in real time and do not have the ability to intervene in the Agent's decision-making once a Session is underway. Any malfunction, connectivity failure, unexpected behaviour of the broker's execution channel, or erroneous output of the Agent during a live Session cannot be corrected in real time.

The User expressly accepts the autonomous character of execution and the associated risks, including the risk that the Agent may not behave as expected in edge cases not covered by its internal configuration, and that no human override is available during a Session.

Demo versus live accounts

The Platform defaults to using the User's demo account. Contracts executed in the demo environment are real contracts processed by the broker's engine but settled in virtual currency with no nominal value. Demo outcomes do not constitute evidence of achievable returns in a live account.

The transition from demo to live execution is irreversible within a live Session: once a live Session is initiated, contracts are executed with real capital and cannot be unwound. The User must ensure that they have made a deliberate, informed decision to operate in live mode before initiating a live Session.

Live account performance may differ from demo performance due to differences in broker execution parameters, margin requirements, or other conditions that apply exclusively to live accounts. Quanthree makes no representation that demo and live execution will produce equivalent outcomes.

Jurisdictional restrictions

Access to and use of the Platform may be restricted or prohibited in certain jurisdictions by local law, regulation or the terms of the intermediary broker. It is the User's sole responsibility to determine whether use of the Platform is lawful in their jurisdiction and to comply with all applicable local requirements.

Quanthree makes no representation that the Platform is appropriate for use in any specific jurisdiction. Users accessing the Platform from jurisdictions where such access is restricted do so at their own risk and are solely responsible for compliance with local law.

In particular, residents of certain jurisdictions may be subject to restrictions on trading in binary-style or synthetic contracts. Quanthree does not provide legal advice on jurisdictional eligibility and recommends that Users consult a qualified local adviser before proceeding.

Conflicts of interest

Quanthree does not act as a counterparty in any contract and does not have a financial interest in the outcome of any individual Session beyond the service fees, if any, agreed with the User. Quanthree's commercial interest is aligned with the continued use of the Platform, not with any specific Session outcome.

The intermediary broker, as the counterparty or settlement venue for contracts, may have interests that diverge from those of the User. Quanthree has no control over the broker's commercial arrangements and cannot guarantee the absence of conflicts of interest at the broker level.

Changes to these disclosures

Quanthree may update these Disclosures at any time to reflect changes in the Platform, the instruments covered, the Agent's operational parameters, or applicable regulatory guidance. The current version is always accessible at this URL and is identified by the revision date at the top of the document.

Material changes will be communicated to registered Users by email or by a prominent notice on the Platform. Continued use of the Platform following publication of an updated version constitutes acceptance of the revised Disclosures.
